Articles Of Incorporation and By-Laws
The articles incorporating Clark Electric Cooperative
were restated and filed with Wisconsin’s Secretary
of State on June 6, 1972. They set forth the purpose
of the organization; they provide certain rights for
the members; they require the election of a board of
directors who shall name officers of the cooperative;
and they fix the responsibilities of these elected officials.
The bylaws are the rules adopted by the members
for the governing and regulation of the affairs of the
cooperative. Only the membership by majority vote can
alter, amend, or repeal these bylaws at an annual or
special meeting called in accordance with further requirements.
