The all-important fact is that Clark Electric
Cooperative is owned by its membership, which makes
YOU a part owner as long as you retain your member standing
in this great organization.
The government of your cooperative is based upon
the by-laws which are the rules and regulations adopted
by the members themselves, directing the Board of Directors
in its job as the policy-making body of the cooperative.
Only the members can adopt bylaws, which means only
the members can change them.
Certain members of the board of directors are
elected at each annual meeting by the membership. The
board of directors, therefore, are responsible to the
membership for the operation of the cooperative. The
board is comprised of seven directors. Three or two
of these seven directors are elected at each annual
meeting for three-year terms. They must wait at least
one year before they are again eligible for position
on the board. Your board of directors becomes the governing
body each succeeding year and sets all policies for
the operation of the cooperative in conformity to its
articles and bylaws.
The manager is employed by the board of directors
and is held responsible for the day-to-day operation
of the cooperative. He reports directly to the board
of directors. The manager employs all personnel to assist
in the operation of the system, but is held responsible
for all functions of the operation. At the manager’s
discretion, certain responsibilities are delegated to
various department heads.
All members are notified by mail as to the date
and place of the annual or special membership meetings.
It is very important that you attend these meetings
to voice your opinions, have all of your question answered,
and cast your all-important vote in resolving the matter
scheduled for membership action. Each membership has
only one vote; which means that every member has equal
voice. A cooperative organization will not continue
to operate for the benefit of its members unless those
members are interested enough to take this one day a
year to share in the responsibilities, as well as the
benefits, of cooperative membership. |
